Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a binding legal agreement between you and CodeMatters LLC ("ClickSpot," "we," "us," or "our"). By accessing or using our website at clickspot.io and any related services, including URL shortening, link analytics, QR code generation, and custom domain features (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Services.

2. Description of Services

ClickSpot provides URL shortening, link management, analytics, QR code generation, and related services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

We may also impose limits on certain features or restrict access to parts of the Services without notice or liability.

3. Account Terms

To access certain features of the Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use Policy

You agree not to use the Services to create, distribute, or link to any content that:

  • Is used for phishing, scams, or credential theft
  • Contains malware, viruses, or other malicious code
  • Constitutes spam or unsolicited bulk messaging
  • Contains pornographic or adult content
  • Promotes hate speech, harassment, bullying, or discrimination
  • Threatens, incites, or glorifies violence or terrorism
  • Infringes on intellectual property rights or copyrights
  • Facilitates illegal goods, services, or activities
  • Promotes illegal gambling
  • Is deceptive, misleading, or fraudulent
  • Exploits or endangers minors
  • Violates any applicable law or regulation

You also agree not to:

  • Circumvent, disable, or interfere with security features or usage limits
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Scrape, data mine, or harvest data from the Services
  • Use the Services to build a competing product or service
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated means to access the Services without our permission

5. Content Removal and Account Termination

We reserve the right, in our sole discretion and without prior notice or liability, to:

  • Remove, disable, or restrict access to any content, links, or materials
  • Suspend or terminate any user account, workspace, or access to the Services
  • Block any user, IP address, domain, or workspace from accessing the Services
  • Report suspected violations to law enforcement authorities

We are not obligated to provide any reason for such actions. Upon termination of your account, your right to use the Services will immediately cease. We may delete your data within 30 days of termination.

6. Third-Party Links and Content

The Services allow you to create shortened links to third-party websites and content. We do not control, endorse, sponsor, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage, loss, or harm caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services accessed through links created using our Services.

We strongly encourage you to review the terms and privacy policies of any third-party websites you visit through shortened links.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by CodeMatters LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit through the Services. By using the Services, you grant us a worldwide, non-exclusive, sublicensable, royalty-free license to use, process, store, and transmit your content solely for the purpose of providing the Services.

We may collect and use aggregated, anonymized data derived from your use of the Services for analytics, improvement, and business purposes. Such data does not identify you personally.

8. DMCA and Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act ("DMCA"), we will respond to valid notices of alleged copyright infringement.

If you believe that your copyrighted work has been copied or linked to in a way that constitutes copyright infringement, please provide our designated agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing, including the URL
  • Your contact information (address, telephone number, and email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

We maintain a policy of terminating the accounts of users who are repeat infringers in appropriate circumstances.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any defects will be corrected. We make no representations about the accuracy, reliability, completeness, or timeliness of any content available through the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEMATTERS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for using the Services during the twelve (12) months preceding the claim. You assume all risk arising from your use of the Services.

11. Indemnification

You agree to defend, indemnify, and hold harmless CodeMatters LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you create, submit, or distribute through the Services.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and CodeMatters LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.

Arbitration Rules: The arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of New York, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

No Class Actions: YOU AND CODEMATTERS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@clickspot.io within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of this arbitration agreement.

Survival: This arbitration agreement shall survive termination of your account and these Terms.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of New York. You waive any objection to the exercise of jurisdiction by such courts and to venue in such courts.

15. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

These Terms constitute the entire agreement between you and CodeMatters LLC regarding the Services and supersede all prior agreements and understandings.
